    Procedures for foreigner sole investment Enterprise:

    1, Reply to a foreign project:

    Application to set up foreigner sole investment enterprise shall be reviewed and replied by Taiyuan Foreign Trade & Economic Cooperation Bureau; Projects within '2-zone' area will be replied by the '2-zone Administration Commission

    2, Submittals:

    -Application form and Investment enterprise; letter for setting up a foreigner sole investment enterprise:

    -Feasibility study report;

    -Lawful certification documents and qualification certificates of foreign investors (Chinese translation to supply together)

    -Identification document of project site;

    -Information needed otherwise.

    3, Approval of a foreigner sole investment enterprise:

    At receipt of reply of consent to foreigner sole investment project, draft and submit a company constitution to Taiyuan Foreign Trade & Economic Cooperation Bureau for approval;

    Projects within '2-zone' will be approved by the '2-zone Administration Commission';

    Submittals:

    Notification of consent to foreign company's name;

    Constitution of foreign company Name list and Letter of Attorney for board members and legal representatives of a foreign company;

    Personal identity certificates of board members of sole foreign invested project. In case of Chinese personnel employed as board member, copies of his ID and vita shall be provided.

    (Information of foreign personnel shall be attached with Chinese translation)

    List of imports needed;

    Registration form for environment protection;

    Other submittals required by authorities for approval Upon approval of constitution for the foreign enterprise, a 'Certificate of Approval' will be issued to the foreign investment enterprise.

    Within 30 days after receipt of the approval, the foreign investor shall undergo registration at Taiyuan office of state commerce and industry administration bureau and collect business license. Up on the day a business license is issued, the foreign investment enterprise officially comes in to being.

    Time limited for issuing approval:

    Foreign investment enterprises belong to responsibility for approval by Taiyuan municipality shall be approved within 3 workdays at sight of full set of submission; contract, constitution of foreign investment enterprises shall be approved within 3 workdays at sight of full set of submission. At sight of approved contract, constitution, business license shall be issued within 3 workdays by industry and commerce administration organs;

    At sight of project for approval by upper administration, to transfer to the higher level or not shall be decided 15y each sub-levels responsible for pre -review within 3 workdays;

    Determination of conditions for setting up a foreign company shall be conformed for yes or no with written comment by organs concerned at sight of report within 3 workdays;
